Terms of service
The agreement between Dizitallink and the businesses that use it.
Last updated:
These terms of service ("Terms") are an agreement between Dizitallink ("Dizitallink", "we", "us") and the business that creates a Dizitallink account ("you"). By creating an account or using Dizitallink, you accept these Terms on behalf of your business and confirm that you are authorised to do so.
1. Definitions
- Service: the Dizitallink website, dashboard, APIs and related support.
- Coins: prepaid credits in your Dizitallink wallet. 1 coin pays for 1 delivered marketing message. A coin's price depends on the recipient country, as shown on our pricing page.
- Contacts: the people whose phone numbers you upload to, or who message you through, the Service.
- Customer Data: contacts, messages, templates, media and business information you or your contacts put into the Service.
- Meta: Meta Platforms, Inc. and its affiliates, including WhatsApp LLC, which operate the WhatsApp Business Platform.
2. Your account
- You must be a business or a person acting for a business, and at least 18 years old.
- Information you give us, including your legal business name and address, must be accurate and kept up to date.
- You are responsible for everything done through your account and by the team members you invite. Keep login details secret and tell us at once at [email protected] if you suspect unauthorised access.
3. The Service
Dizitallink lets you connect your WhatsApp Business number, manage templates, send campaigns to opted-in contacts, answer messages in a shared inbox with optional AI replies, and view reports. We may improve, change or remove features over time. If we remove a feature you pay for, we will tell you in advance.
4. WhatsApp and Meta
The Service runs on Meta's WhatsApp Business Platform. By connecting a number you also agree to, and must follow:
- the WhatsApp Business Terms of Service
- the WhatsApp Business Solution Terms
- the WhatsApp Business Messaging Policy and Commerce Policy
- Meta's other terms and policies that apply to your use of WhatsApp
You understand that:
- Meta approves templates, decides their category and price, and may reject or pause them.
- Meta sets messaging limits and quality ratings for your number and may restrict, suspend or ban a number or account for policy breaches or negative user feedback.
- Meta may change its prices, rules and features, including pausing certain messages in certain countries.
We are not responsible for Meta's decisions or for interruptions to Meta's services, but we will help you understand and respond to them.
5. Your responsibilities
You agree that you will:
- Send business-initiated messages only to contacts who have opted in to receive WhatsApp messages from your business, and keep records of that consent.
- Honour every opt-out promptly, including STOP replies, which the Service records automatically.
- Follow our acceptable use policy and all laws that apply to your messages, including consumer protection, privacy, anti-spam and telemarketing laws in your contacts' countries.
- Have a lawful basis and give the notices required by law for the Customer Data you put into the Service.
- Not upload or request highly sensitive data, such as full payment card numbers, bank account passwords or government ID numbers, through WhatsApp.
6. Coins, prices and payment
- Prepaid wallet: you buy coins in advance through our payment providers, for the country you will message. Coins are added to your wallet as soon as payment succeeds.
- What a coin pays for: each delivered marketing message uses 1 coin. Utility and authentication messages use the smaller amount shown on the pricing page. The total is shown before every campaign.
- Reservations and refunds to wallet: when a campaign starts, the estimated coins are reserved. Coins for messages that fail or are not sent are returned to your wallet.
- Zero balance: messages that need coins are not sent when your balance is too low.
- Taxes: prices exclude GST and other taxes, which are added at checkout where they apply. We issue a tax invoice for every purchase.
- Price changes: when Meta changes its rates, or we change ours, we update the pricing page. New prices apply to coins bought after the change.
- Validity: coins do not expire while your account is active. If an account has no sign-in or sending activity for 24 months, we will email the owner at least 30 days before closing it, and unused coins can be refunded before closure.
- No transfer: coins cannot be transferred to another account or exchanged for cash, except as described in our refund and cancellation policy.
- Chargebacks: if you dispute a payment with your bank instead of contacting us, we may suspend the account until the dispute is resolved, and remove coins from that purchase from your wallet.
7. Refunds and cancellation
Refunds and cancellation are covered by our refund and cancellation policy, which forms part of these Terms.
8. AI features
AI replies are generated automatically from the business information you provide and the customer's message. They may sometimes be wrong. You are responsible for the information you give the AI, for reviewing how it answers, and for taking over conversations when needed. Do not use the AI to give medical, legal or financial advice. The AI always gives your contacts a way to reach a person.
9. Customer Data and privacy
- You own your Customer Data. You give us permission to host, process and transmit it only to provide and secure the Service.
- We act as your data processor for Customer Data and process it only on your instructions, as described in our privacy policy. We keep it confidential, protect it with appropriate security, use only the service providers listed in the privacy policy, and help you respond to requests from your contacts.
- You are the controller (Data Fiduciary) for Customer Data and are responsible for consent and for notices to your contacts.
- You can export or delete Customer Data at any time. After account closure we delete it within 90 days, except where the law requires us to keep it.
10. Intellectual property
We own the Service, our software, brand and content. You may use the Service only for your business during the term of these Terms. You must not copy, resell, reverse-engineer or build a competing product from the Service. If you send us feedback, we may use it without obligation to you.
11. Confidentiality
Each of us will keep the other's non-public information confidential and use it only for this agreement, except where disclosure is required by law.
12. Suspension and termination
- By you: you can stop using the Service and close your account at any time from your settings or by emailing [email protected].
- By us: we may suspend or close an account, with notice where reasonable, if you break these Terms or the acceptable use policy, if Meta requires it, if payments are disputed or unpaid, or to protect the Service, other users or the public.
- After closure: your access ends, your WhatsApp number is disconnected from Dizitallink (it stays yours), and unused coins are handled under the refund policy.
13. Disclaimers
We provide the Service "as is" and "as available". We work to keep it reliable and secure, but we do not promise it will be uninterrupted or error-free, that every message will be delivered, or that campaigns will achieve any particular result. Delivery depends on Meta, mobile networks and your contacts' devices.
14. Limitation of liability
To the extent the law allows:
- Neither party is liable for indirect or consequential losses, including lost profits, revenue or data.
- Our total liability for all claims in any 12-month period is limited to the amount you paid us in the 3 months before the event that caused the claim.
Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud.
15. Indemnity
You will defend and compensate us against claims, fines and costs arising from your Customer Data, your messages, your breach of these Terms or the acceptable use policy, or your breach of law, including claims that you messaged people without consent.
16. Changes to these Terms
We may update these Terms. We will post the new version on this page and, for significant changes, email account owners at least 14 days before they apply. Continuing to use the Service after that means you accept the new Terms.
17. Governing law and disputes
These Terms are governed by the laws of India. Both parties will first try to resolve any dispute through good-faith discussion for 30 days. If that fails, the dispute will be settled by arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated in India, in English. Subject to this, the courts of India have exclusive jurisdiction.
18. Complaints
If you have a complaint about the Service, email [email protected]. We acknowledge complaints within 2 business days and aim to resolve them within 30 days.
19. General
These Terms, with the policies they link to, are the whole agreement between us about the Service. If any part is unenforceable, the rest stays in force. Neither party is liable for delays caused by events beyond its reasonable control. You may not transfer these Terms without our consent; we may transfer them as part of a reorganisation or sale of our business. Failing to enforce a right is not a waiver of it.
